The legal basis for EQ's purchase of goods and services is set forth in its purchase orders. A written EQ purchase order has two parts:

  1. The initial page(s) of the purchase order contains information and terms unique to the particular transaction, including the name and address of the supplier, a description of the goods or service order, quantity, price, shipping terms, promised delivery dates, and payment terms.
  2. The EQ General Terms and Conditions are the second part. The terms and conditions apply to every purchase, regardless of the award transmission format (fax e-mail, phone, etc.) to the supplier.

EQ has compiled a reasonable set of Terms and Conditions given today's highly competitive marketplace. Although sensitive to suppliers concerns, EQ simply does not have the resources to negotiate changes to the Terms and Conditions.
